1. About these terms
These terms are an agreement between you and Månevann AS (“we”, “us”), a Norwegian company with organization number 927343134, based in Skien, Norway. They cover your use of Nocadi, the Notion Campaign Dispatcher, including the website at nocadi.com and the app.
If you use Nocadi for a company or other organization, “you” means that organization, and you confirm that you are authorized to accept these terms on its behalf.
By creating an account or using Nocadi, you accept these terms and our Privacy policy. If you do not agree, do not use Nocadi.
2. The service
Nocadi connects a Notion database to your email marketing platform, such as MailerLite or Mailchimp. It turns Notion pages into branded email campaigns, creates and updates drafts on your platform, sends test emails, sends or schedules campaigns when you tell it to, and writes the results back to Notion.
To use Nocadi you need your own accounts with Notion and a supported email platform. Nocadi is an independent product. It is not affiliated with, endorsed by or sponsored by Notion, MailerLite or Mailchimp, and their names and trademarks belong to their owners.
3. Who can use Nocadi
You can use Nocadi as an individual or for a business. You must be at least 18 years old and able to enter into a binding contract. If you use Nocadi as a consumer, you keep every right the consumer law of your country gives you, and nothing in these terms limits those rights.
4. Accounts and organizations
Give accurate information and keep your email address up to date. You must verify your email address before you can sign in.
Keep your password safe. You are responsible for what happens under your account. Tell us straight away at hello@nocadi.com if you think someone else has access to it.
Work in Nocadi happens in an organization. The person who creates it becomes its owner. Owners and admins can invite and remove members, connect and disconnect services, and manage billing. The organization is responsible for the people it invites and for what they do in Nocadi.
Anyone who can edit your Notion campaigns database can trigger Nocadi actions, including sends, by changing a campaign’s status. Control who has edit access in Notion.
5. Free trial and subscription
Each new organization starts with a 14-day free trial. You do not need a payment card to start.
After the trial, Nocadi costs €5 per month for each organization, VAT included.
Subscriptions are paid monthly and renew automatically each month until you cancel.
Nocadi subscriptions are sold by Moonbase, our reseller and merchant of record. When you subscribe, you buy the subscription from Moonbase, which handles checkout, payment, invoices and receipts, VAT, and the consumer rights that apply to the purchase in your country, under its own terms. Checkout is shown in a form on our site. These terms govern your use of Nocadi itself.
If the trial ends without a subscription, or a subscription lapses, Nocadi stops syncing and sending until the subscription is active again. Your settings and data are kept, as described in our privacy policy.
We may change the price. We will tell you by email at least 30 days before a new price applies to you, and you can cancel before it does.
We may refuse or end a free trial that we believe is being misused, for example repeated trials for the same person or business.
6. Cancellation and refunds
You can cancel at any time in Nocadi under Settings, Billing (organization owners and admins can do this). You keep access until the end of the period you have paid for, and you will not be charged again. Payments are not refundable, including for partial months.
This does not affect any right to withdraw from the purchase or to a refund that the consumer law of your country gives you. Moonbase, as the seller, handles those requests.
When the paid period ends, Nocadi stops syncing and sending. Your data is kept until you delete your organization or account in Nocadi, or ask us to, as described in our privacy policy.
7. Acceptable use
You are responsible for the emails you send with Nocadi and for having the right to send them. You must:
only send to people who have agreed to receive your emails, or where you otherwise have a lawful basis, and follow every email marketing and privacy law that applies to you and your recipients, such as the GDPR, the EU ePrivacy rules and the national laws based on them (in Norway, the Marketing Control Act), the US CAN-SPAM Act and Canada’s anti-spam law (CASL);
honor unsubscribe requests, keep the unsubscribe link that Nocadi adds to every email, and identify yourself truthfully as the sender, with a valid postal address where the law requires one;
follow the terms and acceptable use policies of Notion, MailerLite, Mailchimp and any other service you connect.
You must not:
send spam, or use purchased, rented or scraped email lists;
send content that is illegal, fraudulent, deceptive, harassing or hateful, that infringes anyone’s rights, or that contains malware or phishing;
try to get around Nocadi’s limits, billing or security, access another organization’s data, or probe, scan or overload the service;
copy, resell or reverse engineer Nocadi, except where the law allows it despite this restriction.
8. Your content
You own your content: your Notion pages, text, images, logos, branding, audiences and campaign data. We claim no ownership of it.
You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt (for example, convert pages into email and resize images), transmit and display your content, only as needed to provide Nocadi to you and as described in our privacy policy. The license ends when your content is deleted from Nocadi. Emails that have already been sent cannot be recalled.
You confirm that you have the rights needed for your content, including images and fonts, and that it does not break the law or anyone else’s rights. Images in your campaigns are copied to our storage and published at public addresses so that email apps can show them.
We own Nocadi itself: the software, design and brand. These terms give you the right to use it while your trial or subscription is active, not ownership of it. If you send us feedback or ideas, we may use them without any obligation to you.
9. Personal data
Our Privacy policy explains how we handle personal data. For personal data in your content and connected accounts, you are the controller and we are your processor. As your processor, we:
process the data only on your documented instructions, which are these terms and the way you use and configure Nocadi, unless the law requires otherwise;
make sure the people who can access it are bound by confidentiality;
keep appropriate technical and organizational security measures in place;
use only the sub-processors listed in our privacy policy, under data protection obligations, and tell you before we add or replace one so that you can object;
help you, as far as reasonable, to answer requests from individuals and to meet your other GDPR obligations;
tell you without undue delay after we become aware of a personal data breach affecting your data;
delete your personal data when you ask or when our service to you ends, unless the law requires us to keep it;
give you the information you need to show that these obligations are met.
You are responsible for having a lawful basis, including any consent needed, for the personal data you process with Nocadi. We provide a signed data processing agreement on request: email hello@nocadi.com.
10. How sending works
Nocadi acts on the status you set in Notion. Setting a campaign to Ready to send creates or updates a draft on your email platform, and Send test sends a test email. Only Send to audience sends the campaign to your audience, or schedules it if you set a send date. If your organization uses team approvals, the campaign is sent only after enough approvers have approved it.
Nocadi does not send campaigns on its own initiative, and it is built so that the same campaign is not sent to the same audience twice.
A send cannot be undone. Check the content, audience and send time before you set a campaign to Send to audience. Send times without a time zone are read as UTC.
Your email platform delivers the emails. Delivery, spam filtering and the statistics it reports are outside our control.
11. Third-party services
Nocadi depends on Notion, your email platform and the providers listed in our privacy policy. Your use of Notion and your email platform is governed by your own agreements with them. We are not responsible for their services, including outages, changes to their products or APIs, or action they take on your account. If a provider changes or withdraws something Nocadi relies on, some features may stop working, and we may have to change or remove them.
12. Availability and changes to Nocadi
We work to keep Nocadi reliable, but we do not promise that it will always be available or free of errors, and we offer no uptime commitment. Maintenance can make Nocadi unavailable for short periods.
We improve Nocadi continually, and features may change. If a change significantly reduces what Nocadi does for you, we will tell you in advance where we reasonably can. If we decide to shut Nocadi down, we will give at least 30 days’ notice, so you can cancel before your next renewal.
13. Disclaimer
Nocadi is provided “as is” and “as available”. To the extent the law allows, we make no promises beyond those in these terms, including about fitness for a particular purpose. In particular, we do not guarantee that emails will look the same in every email app, that every kind of Notion content can be converted, or that the statistics your email platform reports are accurate.
14. Limitation of liability
To the extent the law allows:
we are not liable for indirect or consequential loss, including lost profits, revenue, business, goodwill or data;
we are not liable for the content of your emails, who receives them, or failures of third-party services;
our total liability for all claims under or related to these terms is limited to the greater of €100 and the fees you paid for Nocadi in the 12 months before the event that gave rise to the claim.
These limits do not apply to loss caused by our gross negligence or willful misconduct, or to liability that cannot be limited under applicable law. If you are a consumer, they apply only as far as the consumer law of your country allows.
15. Claims about your emails
If you use Nocadi for a business and someone makes a claim against us because of your content, the emails you send with Nocadi, or your breach of these terms or the law, you will cover our reasonable costs and losses from that claim. We will tell you about the claim promptly and let you take part in handling it.
16. Suspension and termination
You can stop using Nocadi and cancel your subscription at any time.
We may suspend or close your account or organization if you seriously or repeatedly break these terms, if you do not pay, if the law requires it, or if your use puts Nocadi, our providers or other customers at risk (for example, through spam complaints). Where reasonable, we will warn you first and give you a chance to fix the problem.
When an account or organization is closed, we delete its data as described in our privacy policy. Your campaign content stays in your Notion workspace and on your email platform; Nocadi does not hold the only copy. Sections that by their nature should continue after termination, such as those on liability and disputes, continue to apply.
17. Changes to these terms
We may update these terms. The date at the top shows when they last changed. If a change is material, we will tell you by email at least 30 days before it takes effect. If you keep using Nocadi after that, the new terms apply. If you do not agree, cancel before the change takes effect.
18. Governing law and disputes
These terms are governed by Norwegian law. If a dispute arises, please contact us first so we can try to resolve it informally. Disputes that cannot be resolved this way are decided by the courts of Norway. If you are a consumer, you also keep the protection of the mandatory consumer law of the country where you live, and you may bring a claim in its courts.
19. General
These terms and our privacy policy are the entire agreement between you and us about Nocadi.
If part of these terms is found invalid, the rest continues to apply.
If we do not enforce a right straight away, we do not give it up.
You may not transfer your rights under these terms without our consent. We may transfer ours to a company that takes over Nocadi, and will tell you if we do.
Neither of us is responsible for delays or failures caused by events beyond our reasonable control.
We contact you by email, at the address on your account or your organization’s billing email.
